MOSAT & Partners, s.r.o. is an independent, full-service Slovak law firm where an excellent understanding of national legislation, extensive local knowledge, and experience of the local and international environment combines to meet the highest standards and the client’s expectations.

Lawyers

Richard Mosat

Richard Mošať, LL.M. established his own law firm, MOŠAŤ & Partners, in 2009. The law firm has its registered office at Partizánska 2, 811 03 Bratislava. Richard graduated from the Comenius University School of Law in 2002 with a master’s degree in law. After completing his university education, he spent two years in Australia where he obtained a diploma in marketing and studied for six months at one of the most prestigious universities in Sydney.

Richard gained professional experience as a trainee lawyer starting in 2004. From 2005 to 2008, he was a trainee lawyer at a renowned law firm in Bratislava employing more than 20 lawyers, where his practice was focussed on advising international clients. He has been a member of the Slovak Bar Association (SBA) since 2007 and is currently managing partner at his own law firm.

Richard has attended many language courses abroad and he graduated from a two-year study of European law organised by the University of Cambridge. Richard’s native language is Slovak and he is fluent in English, and is able to draft legal documents in either of those languages. Taking account of his current clientele, he is also learning Russian.

During his university studies, Richard lectured on law at various business high schools and he has been lecturing externally since 2008 on various business subjects (such as commercial law, land law, real estate law, procedural law and EU law) at the Slovak Agricultural University in Nitra for international students. He has also been a judge at the Court of Arbitration at the Institute of Arbitration since 2007, and since 2016 he has been a judge at the Permanent Court of Arbitration at the Association for Arbitration, where he decides consumer disputes on a regular monthly basis.

Richard specialises mostly in contract (binding) law and company law and has extensive experience in construction law, primarily in drafting and amending contracts for work. His practice includes standard and non-standard company matters and processes, as well as comprehensive labour relations.

For many years, Richard was actively engaged in advising one of the largest automobile manufacturers in Slovakia, particularly in respect of labour law and commercial law. He advised on labour matters, chiefly for international clients establishing a place of business in Slovakia, and represented international clients in procedures for obtaining residence permits in Slovakia, including administrative and judicial proceedings relating to the granting of residence permits.

Richard is experienced in providing legal services in building and land law, consulting in the purchase and sale of real property, and all types of contracts related to real property transactions, including leases.

Areas of Law

Commercial and Contract Law

We advise both Slovak and international clients in all areas of commerce, including representation in commercial litigation. We draft all types of commercial contracts and offer legal services for resolving disputes arising from contracts and other types of commercial binding relationships. We offer assistance with debt recovery both in and out of court, as well as with issues of compensation for damages, and consulting on cases of libel and defamation of legal entities. We have specific experience in drafting contracts for work, distribution contracts, service agreements, and franchise contracts.

Company Law

We handle incorporation documents for all types of business entities and all required corporate matters, including trade licences and the commercial register. Our legal services cover all areas of company law, including amendments to internal policies, legal form, consolidation, merger, division, winding up and liquidation of a company.

We ensure that our clients comply with laws, especially registration and reporting duties and filing relevant documents in the commercial register.

Labor Law

We have extensive experience in labour law and provide legal advice primarily to employers. We advise on everyday business matters, for instance drafting standard labour documents such as employment contracts, agreements on non-employment work, internal directives (codes of ethics, employment manuals, regulations on work hours in a three-shift environment), agreements on termination of employment and summary dismissal, but we also have experience resolving more complex labour issues, such as representation in collective bargaining and mass redundancies. We represent employers as well as employees in court proceedings in matters of invalid terminations and enforcement of liability for damages in cases of work accidents, occupational illnesses and cases of violation of non-compete clauses.

We advise on practically all areas of labour law, primarily in matters of working hours in businesses that work on a shift pattern, matters of termination of employment and the risks of applying certain types of employment termination (e.g. notice of termination or summary dismissal), as well as consultations regarding the employment of foreign nationals, matters of indemnification, personnel outsourcing, accidents on the job, illegal employment, and employee education.

We have vast experience advising clients with respect to concluding employment contracts with foreign nationals, and we represent clients (foreign nationals) in the entire process of arranging for work permits and residence permits in Slovakia.

Immigration Law

We advise on all aspects of immigration law. We have extensive experience representing clients in the process of applications for residence, whether permanent or temporary, as well as applications for Slovak citizenship. We counsel foreign nationals who have decided to conduct business in the Slovak Republic and need to obtain permits for temporary residence for business purposes, as well as foreign nationals who intend to work in the Slovak Republic and need temporary residence permits in order to work, including the work permit itself. Our services also encompass assistance with permanent residence and we offer counselling on how to lawfully acquire it. Our up-to-date database allows us to notify these clients in good time of any upcoming expirations of residence permits and we assist them in applying for renewals.

Real Property Laws

Our chief area of practice is comprehensive legal counselling in the purchase and sale of real property for our clients. We draft the contracts required for the conveyance of real property, and advise on acquisitions of real property, whether land, office buildings or commercial premises. An important part of every conveyance of real property is due diligence (title deed history), where we examine mostly matters of any third party encumbrances (such as easements, pre-emptive purchase rights, charges) which may limit the client in the acquisition of and any further transactions with the real property.

We also advise on leases and sub-leases for office and commercial premises and logistics centres. As a fundamental service, we offer our participation in meetings for negotiation of terms and conditions for the conveyance of real property and in counter-offers from the other party.

Litigation and Dispute Resolution

Our priority is to avoid litigation, whether through the quality of our services or through out-of-court settlements. We recommend litigation to our clients only in the event that all attempts at out-of-court settlements have failed or if no other remedy is available. We offer our clients assistance in a wide variety of litigation areas, including representation in court and judgment disputes, disputes before the Slovak Constitutional Court, and in arbitration proceedings. We also represent clients in negotiations and meetings with the counter-party. Our clients can rest assured that we will handle their matter to the best of our ability to achieve a positive outcome in any dispute.

Administrative Law

We consult on practically all aspects of administrative law. We represent clients in land register proceedings, planning reviews, IPPC proceedings, administrative infringements, and proceedings for granting residence permits and other proceedings before state and local authorities.
We have specific experience representing clients in enforcing liability claims for damage incurred due to the improper actions of authorities and illegal decisions made by administrative bodies. We also represent clients in matters of interlocutory proceedings regarding indemnifications and legal actions against the government

Malpractice Law

LawOur services in malpractice law are primarily for providers of medical care, but we also offer services to patients and persons who have been injured through malpractice. Aside from consultations and legal analysis of the issue, we also offer representation before courts and other bodies. We are experienced in establishing medical offices (including dental offices) and we also offer counseling aimed at the preparation and drafting of procedures for starting up businesses, including offices aimed at providing medical care, and we offer complete legal documentation.

Bankruptcy and Restructuring

We offer services for both the creditor and debtor in areas of bankruptcy and restructuring. Depending on the client’s situation, we can offer legal assistance in all phases of bankruptcy and restructuring. Our services in this area include mainly drafting and lodging bankruptcy claims, representation of the client in enquiries, creditor meetings, drafting opinions on proposed resolutions and representation in incidental disputes.

Transportation Law

We can provide our clients with legal counseling in international and national transportation,including representation of clients in resolution of accidents, liability and enforcement of rights arising from such incidents.
